CGS3 Partner & Tax Chair Presenting on Buy-Sell Agreements

SAN DIEGO (May 4, 2026) – Crosbie Gliner Schiffman Southard & Swanson LLP (CGS3) partner Phillip Jelsma, chair of the firm’s tax practice group, recently joined a panel of industry professionals to present “Buy-Sell Agreements for Closely-Held and Family Businesses: Considerations After Connelly.”

Jelsma collaborated with George Alexander of Showley, Archambault & Alexander, Lindsay Cigler of Penn Mutual Life Insurance, and Bill Super of William Super CPAs and Consultants to provide a comprehensive analysis of evolving strategies in buy-sell planning.

The presentation focused on the implications of Connelly v. United States, a landmark 2024 U.S. Supreme Court decision that significantly reshaped how buy-sell agreements are structured for closely held and family-owned businesses. The ruling determined that company-owned life insurance proceeds intended to fund share redemptions must be included in a company’s valuation—potentially increasing estate tax exposure and requiring business owners and advisors to reassess existing agreements.

Panelists discussed practical considerations and planning opportunities in light of the decision, offering guidance on structuring agreements to better align with the new legal landscape while preserving business continuity and tax efficiency.

The event was hosted by the North County Estate Planning Council of San Diego, an organization dedicated to fostering interdisciplinary collaboration, education, and professional networking among experts in estate planning, law, finance, and related fields.
